· Vodafone Kenya Limited to acquire 15.0% stake from the government of Kenya at a price of Kes34/share for a consideration of Kes 204.3 billion (US$ 1.6 billion)

· This represents an additional 6,009,814,200 ordinary shares being acquired by Vodafone Kenya Limited

· Vodacom Group Limited will be increasing its stake in Vodafone Kenya to 100% from 87.5% via an internal reorganisation that will involve the purchase of Vodafone International Holdings B.V’s & resulting in the acquisition of a 4.99% indirect stake in Safaricom Plc.

· The Share Acquisition from the government of Kenya, in combination with the Vodafone Kenya acquisition, will result in Vodafone Kenya holding a 55.0% shareholding in Safaricom Plc

· The deal also bakes in an agreement to have Vodafone buy the right to receive future Safaricom dividends & will make an upfront payment of Kes 40.2 billion (~ US$ 309 million) to the government of Kenya.

· Vodafone Kenya maintains that it does NOT intend to launch a take-over offer of Safaricom
